Terms and Conditions

To be an authorized affiliate of THE SIMPLE SCHOLAR, you agree to abide by the terms and conditions contained in this agreement.

Please read this agreement carefully before registering and using THE SIMPLE SCHOLAR service as an affiliate. By signing up for THE SIMPLE SCHOLAR affiliate program, you indicate your acceptance of this agreement and its terms and conditions.

THE SIMPLE SCHOLAR AFFILIATE PARTNER PROGRAM AGREEMENT

(Affiliate & Instructor–Affiliate)

This Partner Program Agreement (“Agreement”) governs participation in The Simple Scholar Partner Program (“Program”) operated by The Simple Scholar LLC (“Company”).

By registering through the iDevAffiliate platform and participating in the Program, you (“Partner”) acknowledge that you have read, understood, and agree to be bound by this Agreement in full.

1. PROGRAM OVERVIEW

The Simple Scholar Partner Program allows approved partners to promote the Company’s offerings, including Memberships as well as one-time purchases, and to earn commissions on qualifying referrals.

Partners may participate in one of the following roles:
Affiliate Partner (Partner Only) – promotion and referral only
or
Instructor–Affiliate Partner – content contributor who also promotes memberships

All applications are subject to manual review and approval. Approval is not guaranteed.

2. ROLE DECLARATION & ACCURACY

During the application process, Partner must declare their intended role by typing one of the following responses exactly as instructed:

Partner affirms that this declaration is accurate and complete.
Providing false, misleading, or inaccurate role information constitutes a material breach of this Agreement and may result in immediate termination, forfeiture of unpaid commissions, and removal from the Program.
Company reserves the right to approve, deny, or reclassify Partner roles at its sole discretion.

3. ENROLLMENT FEE

Participation in the Program requires a one-time onboarding investment in the amount displayed at enrollment (standard rate $495, or any promotional rate offered).

The enrollment fee:
- Is non-refundable
- Supports manual vetting, onboarding, and partner resources
- Helps maintain program integrity
Payment of the enrollment fee does not guarantee acceptance.

4. COMMISSION STRUCTURES
The Program offers two distinct commission structures depending on the type of sale.

4.1 Standard Commissions – Membership Revenue
This structure applies only to sales of the Elite Master Membership or any other membership offering at The Simple Scholar.

Membership Commissions
- Approved Partners earn:
50% commission on the first payment made by each new Membership referred
30% commission on subsequent recurring membership payments, subject to the conditions below

Active Partner Requirement:
Recurring membership commissions are paid only while the Partner remains an Active Partner in good standing.
Recurring commissions immediately cease if the Partner:
- Voluntarily leaves the Program
- Is terminated or suspended
- Fails to meet the Active Partner requirements defined in Section 5
- Violates this Agreement

No recurring commissions are paid after Partner participation ends, even if previously referred members remain active.

Commission Cap
Total commissions paid for any individual membership account shall not exceed 50% of the total gross membership payments made by that customer.

Net Revenue Basis

Membership commissions are calculated on net revenue, after deductions for:
- Discounts or promotional pricing
- Refunds or partial refunds
- Chargebacks or fraud reversals

4.2 One-Time Commissions – Non-Recurring Sales
This structure applies to non-subscription, one-time purchases made outside of any Membership.

Eligible one-time sales may include, but are not limited to:
- Retreats or live events
- One-on-one coaching sessions
- One-on-one consulting or custom services
- Prepared genealogy packages or research services
- Pantry design or preparedness services
- Custom projects or done-for-you work
- One-time digital downloads or standalone products
- One-Time Commission Rate

Partners earn a flat 35% commission on eligible one-time sales referred by the Partner.
No Recurring Component on one-time sales.

One-time commissions:
Are paid once per completed transaction
Do not generate recurring commissions
Are not subject to ongoing payout obligations

Company reserves the right to determine which products qualify for one-time commissions and may exclude specific offers at its discretion.

4.3 Commission Holds, Reversals & Adjustments
All commissions under both structures are subject to:

- A minimum 45-day hold period
- Refund and chargeback reversals
- Fraud review
- Manual approval and payout procedures

5. ACTIVE PARTNER DEFINITION
An Active Partner is a Partner who meets all of the following conditions:

- Maintains an approved and active account within the iDevAffiliate system
- Remains in compliance with this Agreement and all Program policies
- Has not been terminated, suspended, or placed under investigation
- Is not engaging in prohibited, deceptive, or inactive behavior
- Maintains a legitimate promotional presence aligned with Company standards
- Responds to reasonable communications from Company when required

Company reserves the right to determine Active Partner status at its sole discretion.
Inactive, non-responsive, or non-compliant Partners may be reclassified as inactive, resulting in the immediate cessation of recurring commissions.

6. FRAUD, SELF-REFERRALS & PROHIBITED CONDUCT

Partner may not:
- Refer themselves, household members, or controlled entities
- Create fake or fraudulent accounts
- Use stolen or unauthorized payment methods
- Incentivize refunds or chargebacks
- Use bots, crawlers, or automated traffic
- Manipulate tracking, cookies, or attribution

Any such activity may result in immediate termination and forfeiture of unpaid commissions.

If a chargeback is attributable to Partner’s referral, Company may deduct the associated dispute fee (currently $35 per incident) from Partner’s future earnings.

7. MARKETING, FTC & CAN-SPAM COMPLIANCE

Partner agrees to:
- Promote Company offerings honestly and professionally
- Comply with all FTC disclosure requirements
- Comply with CAN-SPAM and all applicable marketing laws

Partner acknowledges that they are solely responsible for their marketing practices.
Company is not liable for penalties, violations, or claims arising from Partner’s failure to comply with applicable laws.

8. INTELLECTUAL PROPERTY

Company grants Partner a limited, non-exclusive, revocable license to use approved marketing assets solely for promotion of Company offerings.

Partner may not:
- Modify branding without permission
- Imply employment or ownership
- Register domains or social handles using Company trademarks
- Create misleading or derivative branding

9. ADDITIONAL TERMS FOR INSTRUCTOR–AFFILIATE PARTNERS
The following provisions apply only to Partners approved as Instructor–Affiliate Partners:

Instructor–Affiliate Partners must choose one compensation path:

Affiliate commissions or
Instructor Revenue Pool (not currently offered)

Participation in both simultaneously is prohibited unless explicitly authorized in writing
Content licensing, quality standards, and exclusivity are governed by the Instructor Agreement

If a Hybrid role is later authorized, total combined compensation shall not exceed 50% of gross revenue attributable to affected members

10. TERMINATION

Company may suspend or terminate Partner participation at any time for:

- Fraud or abuse
- Misrepresentation
- Excessive refunds or disputes
- Violation of this Agreement
- Harm to Company brand or operations

Upon termination:
- Pending commissions are held for 45 days
- Invalid commissions are forfeited
- All promotional use of Company assets must cease

Enrollment fees are not refunded.

11. LIMITATION OF LIABILITY

Company is not liable for:
- Lost profits or revenue
- Technical interruptions
- Payment processor delays
- Indirect or consequential damages

Participation is voluntary and at Partner’s own risk.

12. MODIFICATIONS

Company may update this Agreement at any time.
Continued participation constitutes acceptance of all modifications.

13. ENTIRE AGREEMENT

This Agreement constitutes the entire understanding between Company and Partner regarding participation in the Program and supersedes all prior discussions.

14. ACCEPTANCE

By registering through the iDevAffiliate platform and participating in The Simple Scholar Partner Program, Partner acknowledges and agrees to all terms of this Agreement.
